“Agreement” | shall mean this written document together with all written appendices, annexure, exhibits or amendments attached to it from time to time; |
“atWORK System” | means the hardware and software, database structures and related data and methodologies developed, controlled and used by atWORK; |
“atWORK System Documentation” | shall mean the written document(s) containing detailed instructions pertaining to the Use of the atWORK System and setting out the operation of the atWORK System; |
“atWORK System Subscription” | shall mean a non-transferable and non-exclusive right granted to the End User and its Users to Use the atWORK System; |
“Commencement Date” | shall mean the Commencement Date specified on the first page of this Agreement; |

“Copyright” | shall mean all rights of Copyright whether existing now or in the future in and to the atWORK System including initial drawings, sketches, flow charts and designs relating thereto; |
“CPA” | means the Consumer Protection Act (Act 68 of 2008) as amended from time to time, together with the regulations promulgated thereunder; |
“Enhancement” | shall mean User specific enhancements to the atWORK System requested by the End User and done by atWORK free of charge, subject thereto that atWORK can do it in his own time, on a non-urgent basis. Any enhancements requested on an urgent basis will be charged at atWORK’s usual hourly rates; |
“Guarantee” | means that atWORK warrants to the End User that the atWORK System shall perform in accordance with the atWORK System Documentation; |
“Guarantee Claim” | shall mean a claim that arises from the atWORK System materially not performing in accordance with the Guarantee; |
“Intellectual Property Rights” | means all and any of the rights in and to intellectual property of any nature whatsoever owned and/or controlled directly or under licence by atWORK, now or in the future, including without limitation, atWORK’s rights, title and interest in and to the atWORK System and all technology, source code/s, trade secrets, logos, systems, methods, trademarks, trade names, styles, insignia, designs, patents and copyright, and all similar proprietary rights which may subsist in any part of the world, whether registered or not; |
“Notice” | shall mean notice given in writing, including a written notice given by means of electronic communication as defined in the Electronic Communications and Transactions Act (Act no 25 of 2002), or any replacement legislation; |
“Parties” | shall mean atWORK, the End User and every User that has bound himself/herself in writing to the terms and conditions recorded in this Agreement; |
“Personal Information” | means personal information as defined in the Protection of Personal Information Act (Act no.4 of 2003), as may be amended from time to time; |
“Representative” | means, in respect of a Party, its directors, members, shareholders, officers, trustees, beneficiaries, employees, agents, consultants or advisors that will obtain or have access to any Confidential Information; |
“Use” | means the entitlement obtained by the End User and its Users from atWORK to use the atWORK System (in object form and never in code form) hosted on the Website for the benefit of the End User and Users on their own internal operating systems or central processors on the terms and conditions recorded in this Agreement; |
“Users” | shall mean the numerical number of users, using the atWORK System. The number of users will be calculated on a monthly basis in accordance with the provisions of Clause 5.3 by atWORK and the Subscription Fees will thus fluctuate accordingly; |
“Website” | shall mean the web address where the atWORK System is hosted and can be accessed for Use, namely https://www.atwork.co.za/, or such other web address as notified by atWORK to the End User from time to time; |
“Virus” | means a device or thing (including any software, code, file or programme) which may prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, Trojan horses, viruses and other similar things or devices. |
